North America Distribution, License and Research Agreement between Agrinos and Windcrofte Holdings/Ameropa

Lysaker, Norway/Dallas, U.S., Feb. 24, 2014. Agrinos AS (Norwegian OTC: AGRI), an international biological crop input provider, along with its wholly-owned subsidiary in North America, Agrinos Inc., and Windcrofte Holdings, LLC and its partner, Ameropa North America, have entered into a multi-year Distribution, License and Research Agreement for the sales and marketing of Agrinos High Yield Technology® (HYT®) products in North America, and for the development of next generation yield enhancement technologies based on the Agrinos and Windcrofte Holdings product development platforms.

Under the terms of the agreement, Agrinos and Windcrofte Holdings will cooperate on the marketing of Agrinos HYT® products for specific Windcrofte Holdings exclusive fields and crops in North America. Windcrofte Holdings will provide financial support for these activities and for the development of new technologies to further enhance yield and crop productivity using the Agrinos proprietary product platform. Specific terms of the agreement were not disclosed.

Modern agriculture is looking for improved fertilizer and nutrient utilization. This agreement is a response to that need and represents an entry into the enhanced fertilizer market with differentiated biological solutions for increased crop productivity.

Agrinos’ natural biological technologies function synergistically with conventional fertilizers and fertilizer applications to promote improved nutrient delivery to the plant. The Agrinos products have demonstrated significant crop productivity and quality gains when used with conventional fertilizer regimes and this, in turn, offers growers an advantage and return on their investment while promoting agricultural practices that can enhance environmental quality and soil productivity.

“This agreement marks an important advancement in the innovation that Agrinos’ biological products bring to the crop nutrition and fertilizer market in North America,” said D. Ry Wagner, Ph.D., Agrinos Chief Technology Officer and President of Agrinos, Inc.  “Our ability to deliver natural biological products to the marketplace is greatly enhanced by this collaboration with Windcrofte Holdings/Ameropa North America,” Wagner added.

“Our collaboration with the outstanding partner we have found in Windcrofte Holdings/Ameropa North America is a result of the success we have seen with our HYT® products in the United States over the past few year,” said Kjetil Bohn, CEO of Agrinos AS. “Agrinos views the U.S. as a key geographic market in our global growth strategy and the ability to work closely with Windcrofte Holdings/Ameropa North America on our current products, and on the development of new products for this market, is a great opportunity for us,” Bohn said.

“We believe that the proliferation and increased use of biologicals will generate double digit sales growth over the next 10 years making this product segment one of the fastest growing and most profitable in the agricultural industry,” said Chris Green, Managing Director of Windcrofte Holdings. “Agrinos is one of the leading companies in the world in the development and production of biological products that improve crop performance and yield. Windcrofte Holdings and Ameropa are committed to marketing, selling, and distributing the Agrinos product line in North America.”

Nick Adamchak, Managing Director of Ameropa North America, added “we are confident that the next necessary quantum leap in agricultural productivity will involve a prominent role for bio-stimulant and bio-control products. We believe that the Agrinos product line, and its demonstrated ability to complement and enhance the efficacy of traditional N-P-K fertilizers, is uniquely positioned to catalyze this process.  We are excited about our partnership with Agrinos and the opportunity to offer this product line to our North American customer base.”
